1. Definitions

In these terms of service, the following definitions apply:

Propty: Propty, a trade name of Group any B.V., established in the Netherlands, Chamber of Commerce no. 89946790.
User: the natural or legal person entering into an agreement with Propty.
Service: the property-management software and related services offered by Propty.
Account: the User's personal access to the Service.

2. Applicability

These terms apply to all offers, agreements and services of Propty. By using our Service the User accepts these terms.

3. Formation of the agreement

An agreement is formed when the User registers for the Service and accepts these terms. Propty confirms the registration by email.

4. Use of the Service

The User is granted a non-exclusive, non-transferable right to use the Service for the duration of the agreement. The User is responsible for:

Keeping login credentials confidential
All activities taking place under the Account
The accuracy of data entered
Compliance with applicable laws and regulations

5. Pricing and payment

All prices are exclusive of VAT unless stated otherwise. Payment is made in advance, monthly or annually, depending on the subscription chosen. In the event of late payment, Propty may suspend access to the Service.

6. Trial period

Propty may offer a free trial period. After the trial period the subscription is automatically converted into a paid subscription, unless the User cancels before the end of the trial.

7. Availability and maintenance

Propty strives for an availability of 99.5% on an annual basis. Planned maintenance is announced in advance. Propty is not liable for damage caused by interruptions or outages.

8. Intellectual property

All intellectual-property rights in the Service rest with Propty. The User obtains only the rights of use granted under these terms.

9. Privacy and data processing

Propty processes personal data in accordance with the General Data Protection Regulation (GDPR). See our Privacy Policy for more information.

10. Liability

Propty's liability is limited to the amount the User has paid to Propty in the 12 months preceding the event giving rise to the damage. Propty is not liable for indirect damage, consequential damage or lost profits.

11. Termination

Either party may terminate the agreement subject to a notice period of one month. Termination must be in writing or via the Account settings. Amounts already paid will not be refunded.

12. Changes

Propty may amend these terms. Changes are announced at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the new terms.

13. Governing law and disputes

Dutch law applies to these terms. Disputes will be submitted to the competent court in Amsterdam.

15. External email integrations

Propty can be connected with external email services such as Gmail (Google) and Outlook (Microsoft). For these integrations, in addition to these terms, the following apply:

the Privacy Policy of Propty (section on Google API services);
the terms of service of the external service (Google Terms of Service or Microsoft Services Agreement, as applicable);
the Google API Services User Data Policy for Gmail integrations.

You are responsible for complying with the terms of the connected external service. Propty acts as a technical intermediary and processes email data solely in accordance with your explicit OAuth consent.
